    David Cohen’s ability to analyze complex tax issues and formulate effective strategies is invaluable to businesses, tax-exempt organizations, multi-entity clients, and high net worth individuals.

    A senior partner in the firm, David has the distinctive experience and skill to serve both the transaction and tax needs of his clients, having earned an LL.M. in Taxation from Georgetown University Law Center, and for over 30 years has practiced extensively in virtually all aspects of corporate and commercial law, with an emphasis on mergers and acquisitions, as well as for-profit and not-for-profit entity structuring, formation and maintenance; contract negotiations and drafting; and corporate governance.

    He provides extensive planning guidance in various areas of tax law, including partnerships, LLCs, corporations, and tax-exempt organizations and works closely with his clients to advise them on what can often be complex and sophisticated issues. David often collaborates with his clients’ other trusted advisors to achieve the clients’ goals and provide practical solutions to challenging opportunities.

    David’s recent successful transactions include the following:

    • Represented the seller, an employment background screening company, and its shareholders in the combined asset and stock sale of the company to a private equity firm for $150 million.
    • Represented the equity owners of a financial industry software company in the reorganization and sale of the company to a private equity firm for $143 million.
    • Represented the equity owners of an event venue support business in the sale of the assets of multiple related entities to a strategic buyer for a transaction value of $115 million.
    • Represented the equity owners of an international data and digital engineering company in the sale of the U.S. parent to a publicly traded software company for a transaction value of $31 million.
    • Represented the seller, a traffic control and trench protection devices company, in the reorganization and sale of its assets to a private equity firm, for a transaction value of $26 million.
    • Represented the equity owners of a regional landscaping company, in the reorganization and sale of its assets to a strategic buyer for a transaction value of $35 million.
    • Represented the seller, an insurance broker company, in the sale of stock to a strategic buyer for $18 million.
    • Represented the seller, a national consumer research company, in the sale of its assets to a strategic buyer for a transaction value of $16.5 million.
